01. Who We Are
Canium Inc. is a Canadian company. These terms are a contract between you and Canium Inc. for the use of the Canium platform, including the web application, the desktop and mobile applications, and the services behind them.
By creating an account or using the platform you accept these terms. If you are accepting on behalf of an organization, you confirm that you have the authority to bind it.

02. Definitions

| Plan | The tier an organization is on: Free, Pro or Regulated. Each plan carries the limits shown in the application. |
| Seat | A paid unit of membership in an organization on a paid plan. One seat covers one member. |
| Subscription | A recurring purchase of seats on a paid plan, billed by our payment processor. |
| Content | Messages, files, call and meeting audio and video, and anything else you send through the platform. |
03. Accounts and Eligibility
- You must be of the age of majority in your province or territory, or use the platform through an organization that has accepted these terms for you.
- One account per person. Give accurate registration details and keep them current.
- You are responsible for everything done through your account. Keep your password private and enable multi-factor authentication where it is offered.
- Canium never receives your password. Losing your credentials can mean permanent loss of access to encrypted content. See Section 08.
- Availability of new accounts may be limited by server capacity. When capacity is full, registration is paused until it is added.
04. Organizations, Administrators and Seats
- The person who creates an organization is its first administrator. Administrators may add and remove members, appoint other administrators, and manage the plan.
- An organization on the Free plan may have up to the number of members shown in the application. To go beyond that limit, the organization must move to a paid plan.
- An organization and its administrators are responsible for the content their members send. Canium cannot read that content and cannot moderate it.
- An organization is responsible for the security of its members' devices and credentials. The platform is only as secure as each member's password.
- Seats are purchased by an individual account and held in that account's pool. A seat in the pool covers nobody until it is assigned to an organization.
- Assigning a seat to an organization is permanent. A seat does not return to the pool and does not move between organizations. Seats assigned to an organization stay with it if the purchaser leaves.
- An invitation reserves a seat until it is accepted, declined or revoked.
- Canium may grant complimentary or free access to an organization for a fixed period. Such a grant may be revoked at any time, expires at the end of its period, and carries no right of renewal.
05. Plans, Pricing and Payment
- All prices are in Canadian dollars. The price per seat and the billing period are shown before you confirm a purchase. Applicable taxes are added at checkout.
- Pro is billed monthly per seat. Regulated is billed annually per seat.
- Payment is processed by a third-party payment processor. The details you enter at checkout are collected and stored by the processor under its own terms. Canium never receives or stores your card number. See the privacy policy for what is shared.
- Moving an organization from Pro to Regulated switches the subscription to the annual Regulated price. Unused time on the Pro plan is credited against the first Regulated invoice.
- Purchases are refused before payment when the plan has no server capacity left. Nothing is charged in that case.
- Canium may change prices. A price change applies to your subscription from its next renewal and is announced at least 30 days in advance by email.
06. Renewal, Overdue Payments and Deactivation
Subscriptions renew automatically at the end of each billing period until cancelled.

Deactivation withdraws access only. The organization keeps its plan, its members, its channels and its content. Nothing is downgraded and nothing is deleted at that point. An administrator restores access by assigning active seats to the organization, which may require a new subscription.
07. Cancellation and Refunds
- You may cancel a subscription at any time from the plan page in the application.
- Cancelling stops renewal. Seats stay active until the end of the period already paid for, then the organization is deactivated as described in Section 06.
- Canium does not issue refunds, in whole or in part, for unused time, unused seats, or seats assigned to an organization.
- Nothing in this section limits a refund right that applies to you under a consumer protection law that cannot be excluded by contract.
08. Encryption and Recovery
- All channels, direct messages, calls and meetings are end-to-end encrypted. Canium's servers store and relay ciphertext only.
- Canium holds no decryption keys and cannot decrypt content for you, for your organization, or for anyone else, including under legal demand.
- Because Canium cannot read your content, Canium cannot recover it. Loss of your credentials or of every device holding your keys can make content permanently unreadable.
- An organization may enable data recovery access. This places a recovery copy of its channel keys under the control of officers the organization appoints. Canium has no access to that copy. Enabling it, and appointing its officers, is the organization's decision and responsibility.
- You must not attempt to defeat, weaken or bypass the platform's encryption.
09. Acceptable Use
You may not use the platform to:
- Break the law, or plan or carry out an unlawful act.
- Harass, threaten or defraud anyone.
- Send unsolicited commercial messages.
- Distribute malware, or probe, scan or attack the platform, its infrastructure or its users.
- Access an account, organization or content you are not authorized to access.
- Resell or sublicense access to the platform without a written agreement with Canium.
- Impersonate Canium or misrepresent your affiliation with any person or organization.
Canium cannot see the content of your communications and does not moderate it. Responsibility for what members send rests with them and with their organization. Enforcement of these rules relies on reports, on account and organization metadata, and on activity that reaches Canium's own systems. Security researchers are welcome to report findings under our responsible disclosure policy.
10. Your Content and Our Software
- You own your content. Canium claims no rights in it.
- You grant Canium only the licence needed to store, relay and deliver your encrypted content to its intended recipients, and to back it up. That licence ends when the content is deleted from the platform.
- The Canium applications, services, names and marks belong to Canium Inc. and its licensors. Your right to use them is limited to using the platform under these terms.
- Except where the law permits it, you may not copy, modify, reverse engineer or create derivative works of the platform.
11. Privacy
The privacy policy explains what personal information Canium collects, where it is stored, and your rights under PIPEDA. It forms part of these terms.
12. Availability and Support
- Canium aims to keep the platform available at all times but does not promise uninterrupted service. Planned maintenance is announced in advance where practical. Current status is published at status.canium.ca.
- The platform is in beta. No service level commitment of any kind applies during the beta period. After the beta period, a service level commitment applies only if it is set out in a separate written agreement with Canium.
- Support is provided by email at contact@canium.ca.
- Canium may add, change or remove features. Removal of a material feature from a paid plan is announced at least 30 days in advance.
- The platform may require a minimum application version. Older versions may be refused until they are updated.
13. Termination and Data Retention
- You may delete your account at any time from the application. Deletion is completed within 30 days. Content you sent into shared channels remains with those channels.
- An administrator may remove a member from an organization at any time. Removal ends that member's access to the organization's channels and content.
- Canium may suspend or close an account or organization that breaches these terms, that is used to attack the platform, or where the law requires it. Where practical, Canium gives notice and a chance to correct the breach first.
- A deactivated organization is retained for 180 days from the date its seats were deactivated. After that, its content becomes eligible for erasure. An administrator may restore the organization at any time before then.
- Sections 08, 10, 14 and 15 survive termination.
14. Disclaimers and Limitation of Liability
- The platform is provided as is and as available. To the extent the law allows, Canium disclaims all warranties and conditions, express or implied, including fitness for a particular purpose and non-infringement.
- To the extent the law allows, Canium is not liable for indirect, incidental, special or consequential loss, or for loss of profit, data or goodwill, however caused.
- To the extent the law allows, Canium's total liability under these terms in any 12 month period is limited to the fees you paid to Canium in that period, or 100 Canadian dollars if you paid none.
- You are responsible for content you send and for your compliance with the laws that apply to you, including any retention or disclosure obligations of your profession or sector.
- Nothing in these terms excludes or limits liability that cannot be excluded or limited by law, including under the Consumer Protection Act of Québec or another provincial consumer protection law where it applies to you.
15. Governing Law and Disputes
- These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there.
- Disputes are brought before the courts of Ontario, and you accept their jurisdiction.
- If you are a consumer, you keep the right to rely on the mandatory consumer protection rules of the province or territory where you live, and to bring a claim in its courts.
- Before starting a claim, write to contact@canium.ca. Most issues can be settled that way.
16. Changes to These Terms
Canium may update these terms. Material changes are announced by email and in-app notice at least 14 days before they take effect. Continued use of the platform after that period is acceptance of the updated terms. If you do not accept a change, stop using the platform and delete your account before the change takes effect.
These terms are available in English and French. In case of a difference between the versions, the English version governs, except where the law requires otherwise.
